Software License Agreement for VISTA

1. Notice. Scientific Software Tools, Inc.’s. VISTA software (“Software”) is a web-based electronic survey tool. By checking the “Consent” box and clicking the “Login” button you agree to the Privacy Statement and these Terms and Conditions and consent to have information collected from you and about your computer’s hardware and software.

2. License. This Software License Agreement grants you a non-exclusive license to use the (“Software”) on the following terms and conditions. Unless Scientific Software Tools, Inc. has authorized you to distribute the Software you may not make or distribute copies of the Software or electronically transfer the Software from one computer to another. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to human-perceivable form. You may not modify, rent, resell for profit, distribute or create derivative works based upon the Software.

3. Ownership. The Software is owned by Scientific Software Tools, Inc. and is protected by both United States copyright laws and international treaty provisions.

4. Disclaimer of Warranties. YOU ACCEPT ALL RISKS WHICH MAY ARISE FROM THE DOWNLOADING AND USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ERRORS IN TRANSMISSION OR CORRUPTION OF EXISTING DATA OR SOFTWARE. SCIENTIFIC SOFTWARE TOOLS, INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ANY WARRANTY OF NON-INFRIGEMENT OF THIRD PARTIES’ RIGHTS, WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE.

Because some jurisdictions do not allow the exclusions or limitations of liability for consequential or incidental damages, or limitations on duration of an implied warranty, the above limitations may not apply.

5. Limitation of Liability. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL SCIENTIFIC SOFTWARE TOOLS, INC. BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTIAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERICAL DAMAGES OR LOSSES, EVEN IF SCIENTIFIC SOFTWARE TOOLS, INC. SHALL HAVE BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES.

SCIENTIFIC SOFTWARE TOOL’S INC. IS NOT RESPONSIBLE FOR THE CONTENT OF THE ELECTRONIC SURVEYS ON THIS WEBSITE. SCIENTIFIC SOFTWARE TOOLS, INC. PLACED THESE SURVEYS ON THIS WEBSITE ON BEHALF OF A THIRD-PARTY.

6. General. This Software License Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. All questions concerning this Agreement shall be directed to: Scientific Software Tools, Inc., 1023 East Baltimore Pike, Suite 100, Media, PA 19063, (1-610-891-1640).
